These Terms of Service (the "Terms") govern access to and use of the CBAMCALC platform available at https://cbamcalc.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About the Service

CBAMCALC is a software-as-a-service (SaaS) platform designed to help users estimate, organize, and review information relevant to obligations under the Carbon Border Adjustment Mechanism (CBAM). The Service may include calculation tools, data processing features, reporting aids, dashboards, exports, and related compliance-support functionality.

The Service is intended primarily for business and professional use.

2. Service Operator and Contact

The Service is operated by the owner of CBAMCALC (the "Operator").

3. Eligibility and Accounts

You may need to create an account to access some features. You agree to provide accurate and complete information and to keep your login credentials confidential. You are responsible for all activity occurring under your account.

You must promptly notify the Operator if you suspect unauthorized access to your account.

4. Subscriptions, Billing, and Payments

Some features of the Service may require a paid subscription.

Payments for the Service are processed by Paddle.com Market Ltd. ("Paddle"), which acts as Merchant of Record. This means Paddle is responsible for checkout, billing, invoicing, tax handling, and payment processing for purchases made through the Service.

Subscriptions may renew automatically unless cancelled before the next billing cycle. The applicable billing period, pricing, renewal terms, and plan features are presented during checkout.

You may manage or cancel your subscription through the billing portal made available by Paddle.

5. Refunds

Refunds, billing disputes, and charge-related requests are handled in accordance with Paddle's applicable policies and procedures, except where mandatory law provides otherwise.

6. Acceptable Use

You agree not to:

  • use the Service for unlawful, fraudulent, or abusive purposes;
  • interfere with the security, integrity, or operation of the Service;
  • upload malware, harmful code, or malicious content;
  • scrape, crawl, or systematically extract data from the Service without authorization;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code, models, logic, or architecture of the Service, except where such restriction is prohibited by mandatory law;
  • attempt to bypass usage limits, access controls, subscription controls, or security features;
  • use the Service in a way that infringes the rights of the Operator or any third party.

7. User Data and User Responsibility

You are solely responsible for all information, files, emissions data, product data, trade data, and other content submitted to the Service.

You represent that you have the right to submit such data and that it does not violate applicable law, confidentiality obligations, intellectual property rights, or the rights of third parties.

The Operator does not independently verify the accuracy, completeness, or legal sufficiency of user-provided data.

CBAMCALC provides computational and informational tools only. The Service does not constitute legal advice, tax advice, customs advice, audit advice, or regulatory certification. Use of the Service does not create any advisor-client, attorney-client, consultant-client, fiduciary, or similar relationship.

9. No Official Filing System

The Service is not an official CBAM registry, governmental reporting portal, or public authority system. Use of the Service does not replace regulatory filings, declarations, notifications, or other official compliance actions required under applicable law.

10. Accuracy and Availability

The Operator aims to keep the Service useful and reasonably accurate, but does not guarantee that calculations, outputs, interpretations, or regulatory references will always be complete, correct, current, or fit for any particular purpose.

The Service is provided on an "as is" and "as available" basis.

The Operator may modify, suspend, or discontinue any part of the Service at any time, including features, plans, pricing, or integrations.

11. Intellectual Property

All rights, title, and interest in and to the Service, including software, databases, interfaces, branding, design, content, documentation, and underlying technology, are and remain the exclusive property of the Operator or its licensors.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

You may not copy, distribute, resell, sublicense, or create derivative works based on the Service except as expressly permitted in writing.

12. Third-Party Services

The Service may rely on third-party infrastructure and service providers, including without limitation:

  • Vercel for hosting,
  • Railway for backend infrastructure,
  • Supabase for authentication and database services,
  • Resend and Google Workspace for email communication,
  • Paddle for payments and billing.

The Operator is not responsible for downtime, delays, errors, data loss, or failures caused by third-party providers.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Operator shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profit, loss of revenue, loss of data, business interruption, regulatory penalties, reputational harm, or procurement of substitute services, arising out of or related to the use of or inability to use the Service.

To the maximum extent permitted by law, the total liability of the Operator for all claims arising out of or related to the Service shall not exceed the amount paid by you for the Service during the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under mandatory law.

14. Indemnity

You agree to defend, indemnify, and hold harmless the Operator from and against claims, liabilities, damages, losses, and expenses arising from:

  • your misuse of the Service;
  • your submitted data;
  • your breach of these Terms; or
  • your violation of applicable law or third-party rights.

15. Privacy and Cookies

Personal data is processed in accordance with the Privacy Policy. Cookies and similar technologies are addressed in the Cookie Policy.

16. Suspension and Termination

The Operator may suspend or terminate your access to the Service immediately if:

  • you breach these Terms;
  • misuse, abuse, or security risk is reasonably suspected;
  • required by law; or
  • the Service is discontinued.

You may stop using the Service at any time. If you have a subscription, cancellation affects future renewals and does not automatically entitle you to a refund unless required by law or Paddle's applicable policy.

17. Changes to the Terms

The Operator may update these Terms from time to time. Material changes may be communicated by email, in-app notice, dashboard notice, or publication on the website.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

18. Governing Law and Disputes

These Terms are governed by the laws of Poland and applicable European Union law, without prejudice to mandatory rights granted under applicable consumer protection law where such law cannot be excluded.

Before initiating formal proceedings, the parties should first attempt to resolve the dispute in good faith through direct contact.
